Memberships

Steve has practiced law in the Bay Area for nearly 30 years, assisting clients in the technology and life science sectors, as well as small businesses. His practice emphasizes all aspects of the drug development and promotion pathway for biopharmaceutical companies, with particular emphasis on clinical trials and on the in-licensing and out-licensing of drug candidates.

 

Steve also has extensive in-house experience in pre-clinical research, manufacturing, marketing, and corporate compliance issues (including conducting in-house training). 

Steve is experienced in corporate formation and governance, business strategy and negotiation, debt and equity financing, securities law compliance, intellectual property licensing and counseling, contract drafting and review, and copyright and trademark protection. 

Steve's legal career has included both private practice and serving as in-house counsel for several publicly traded biopharma companies, including PDL BioPharma and SciClone Pharmaceuticals. He also spent the early years of his career as a litigator and continues to provide legal strategy and litigation oversight to his corporate clients. 

Steve was the co-founder and co-owner of an Internet start-up company.

He began his career as a law clerk at the U.S. Court of Appeals for the Federal Circuit in Washington, DC.

Representative Matters

  • Successfully completed due diligence, regulatory compliance, and integration of drug discovery company in $40 million acquisition by biopharma company.

  • Handled multi-million dollar private equity financing rounds for biopharma companies.

  • Negotiated and drafted real estate purchase and construction contracts for $200 million biopharma manufacturing facility.

  • Negotiated and drafted agreements for in-licensing and out-licensing of antibody drug candidates and targets with large pharmaceutical companies, such as Genentech, Abbott Laboratories, Roche, and Seattle Genetics.

  • Negotiated and drafted legal agreements for numerous clinical trials in U.S., Europe and China.

  • Obtained large settlements for client in copyright infringement cases against two national retail chains.

  • Successfully litigated fraud case on behalf of public entity against regulated service providers, obtaining $9 million judgment.

  • Managed successful defense of wrongful death case in South America against pharmaceutical company arising out of a clinical study in oncology.

Community

Steve has been active in the local bar associations, including serving as Chair of the Constitutional Law Committee and Co-Chair of the Environmental Law Section of the San Francisco Bar Association.  He served on the Board of Directors of the Greater Concord Chamber of Commerce and as its Vice President for Governmental Policy, and on the Board of Directors of the Concord Economic Development Corporation.

More recently, Steve was a coach for several years with Danville Little League and Tassajara Valley Little League.  He also served for six years on the Board of Directors of the John Baldwin Elementary School's Cougar Education Fund.
